Terms of Service

These Terms of Service (“Terms”) are a contract between you and Cawly, Inc. (“Cawly”, “we”, “us”) for use of cawly.ai, the Cawly AI answering service, and related dashboards, APIs, phone numbers, and support (the “Service”). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” means that business.

The service

Cawly provides AI-assisted phone answering and related messaging. Depending on your plan and configuration, that may include answering inbound calls, capturing caller details, booking appointments, transferring calls, sending summaries, and connecting to tools you authorize.

You configure business rules, hours, greetings, and routing. Cawly executes those rules on your behalf within the product’s capabilities. We may modify features, phone numbers we provision, or plan limits with notice when the change is material to paying customers.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of account information, for keeping credentials confidential, and for activity under your organization, including your users and connected integrations.

We may refuse, suspend, or close an account that we reasonably believe is inaccurate, abusive, unlawful, or a risk to the Service or other customers.

Trials

We may offer a time-limited trial, currently seven days for new accounts, without requiring a credit card to start. Trial features, minutes, and phone numbers may differ from paid plans. At the end of a trial the Service may stop answering until you subscribe. Call records, leads, and summaries captured during the trial remain available to you subject to these Terms and our Privacy Policy, including after you cancel, unless you request deletion or retention limits require otherwise.

Plans, billing, and cancellation

Paid plans are billed in advance on the monthly or annual cycle shown at checkout, plus applicable taxes. Voice usage is subject to your plan’s allotted minutes and overage rules published at the time of use. Fees are in U.S. dollars unless we state otherwise.

You may cancel at any time in the dashboard or by contacting support. Cancellation takes effect at the end of the then-current paid period; we do not prorate refunds except where required by law or where we state otherwise in writing. If a payment fails, we may suspend the Service after notice.

Your responsibilities

  • Provide accurate business information and keep forwarding, hours, and transfer rules current.
  • Comply with telecommunications, marketing, recording-consent, privacy, and industry rules that apply to your callers and campaigns, including TCPA, Telemarketing Sales Rule, state calling laws, and — where you handle health or legal intake — HIPAA, state privacy laws, and professional-conduct rules.
  • Obtain any consent required to record calls, send SMS, or place outbound calls or messages to your contacts.
  • Do not use the Service for unlawful, abusive, harassing, deceptive, or emergency-dispatch purposes, or to impersonate another person or business without authority.
  • Secure your dashboard, API keys, and connected systems, and promptly notify us of unauthorized access.

AI limitations and emergencies

The Service uses automated speech recognition, language models, and text-to-speech. Outputs can be incomplete, delayed, or incorrect. You must configure human transfer or voicemail fallbacks for situations the Service should not handle alone.

Cawly is not a substitute for 911, 988, or other emergency services, and is not a medical, legal, or financial advisor. You must not rely on it for life-safety dispatch. Configure emergency routing that sends callers to a human or to emergency services as your industry requires.

Acceptable use

You may not reverse engineer the Service except as the law allows; resell, white-label, or provide the Service to third parties except under a separate partner agreement; probe or overload our systems; bypass billing or usage limits; or attempt to access another organization’s data. We may suspend the Service immediately if we reasonably believe you are violating this section or creating a security or legal risk.

Customer content and data

You retain rights in your account content, call recordings, transcripts, and caller information (“Customer Content”). You grant Cawly a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Service, to comply with law, and as described in the Privacy Policy.

You represent that you have the rights and consents needed for Cawly to process Customer Content, including caller recordings and personal information. Our Privacy Policy explains how we handle personal information.

Cawly intellectual property

The Service, models, software, documentation, trademarks, and digital-employee characters are owned by Cawly or its licensors. These Terms do not transfer any ownership to you. You may not copy, modify, or create derivative works of the Service except as we expressly allow.

Third-party services

The Service may connect to carriers, calendars, CRMs, and other tools you enable. Those products are governed by their own terms. Cawly is not responsible for third-party outages, data handling, or charges, including your telephony carrier’s forwarding behavior.

Disclaimer of warranties

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Cawly disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that calls will always be answered, that transcripts will be error-free, or that the Service will be uninterrupted or immune from unauthorized access.

Limitation of liability

To the fullest extent permitted by law, Cawly and its directors, employees, and suppliers will not be liable for lost profits, lost leads, lost data, replacement telephony costs, or any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility.

Cawly’s total liability for all claims arising out of or related to the Service or these Terms is limited to the amounts you paid us for the Service in the three months before the claim. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the maximum extent permitted by law.

Indemnity

You will defend and indemnify Cawly against claims, damages, and expenses (including reasonable attorneys’ fees) arising from Customer Content, your calling or messaging practices, your violation of these Terms or applicable law, or a dispute between you and a caller, patient, client, or employee.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or if we discontinue the Service. Upon termination we will stop providing the Service and may delete Customer Content after the retention period in the Privacy Policy, except for copies we must keep for legal or security reasons.

Changes to these Terms

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and cancel your account.

Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules, except where mandatory consumer-protection law in your place of residence requires otherwise. Courts located in the United States will have exclusive jurisdiction over disputes, except where prohibited by such mandatory law.

General

These Terms, together with the Privacy Policy and any order form or plan page that references them, are the entire agreement between you and Cawly for the Service. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Failure to enforce a provision is not a waiver.
